These Terms & Conditions (“Terms”) govern access to and use of the website www.zuzh.in (the “Site”), owned and operated by Zuzh (“we”, “us”, “our”). By accessing this Site or engaging Zuzh’s services, the user (“you”, “client”, or “user”) agrees to comply with and be bound by these Terms in full.

For project-specific engagements, these general terms are to be read in conjunction with the respective Statement of Work (SOW), Master Service Agreement (MSA), or custom contractual terms as applicable.

 

1. Corporate Identity

Zuzh is a strategic consulting agency offering services across branding, performance marketing, digital growth ecosystems, and content. Our solutions are customised for scale-ups, HNIs, premium D2C brands, and high-growth businesses.

The Site serves as our digital interface for capability display, inbound engagement, and client communications.

 

2. Authorised Use

You agree to access the Site and its services solely for lawful, business-intended purposes. You are prohibited from:

• Attempting to gain unauthorised access to servers, systems, or proprietary frameworks.
   

• Copying, redistributing, or reverse-engineering proprietary IP, including frameworks, strategy decks, or web assets.
   

• Impersonating another individual, entity, or representing false affiliation.
   

• Engaging in any activity that disrupts service availability or site integrity.
   

 

3. Intellectual Property & Licensing

All intellectual property on this Site — including trademarks, concepts, codebases, methodology frameworks, and digital content — is either owned by or licensed to Zuzh. No license or right is granted without prior written consent.

Deliverables shared as part of a contractual engagement remain the property of Zuzh until full commercial terms are met. Any unauthorised reproduction or reuse constitutes a violation of IP laws and may trigger legal action.

 

4. Commercial Engagement Terms

All services are governed by project-specific contracts. These contracts define:

• Scope of work and deliverables
   

• Resource allocation and timeline
   

• Commercials, payment milestones, and tax compliance
   

• Termination clauses, indemnity, and non-disclosure
   

• Jurisdiction and legal enforceability
   

Unless expressly stated otherwise, these legal documents supersede general website terms.

 

5. Payment Obligations

• Clients are invoiced as per agreed billing cycles in the SOW or MSA.
   

• Delayed payments beyond 7 working days may attract interest charges or project hold.
   

• Zuzh retains the right to pause services or withhold assets until dues are cleared.
   

• Refunds are not processed unless explicitly agreed upon in writing.
   

 

6. Confidentiality & Data Handling

Zuzh commits to safeguarding all confidential information received during the course of engagement, including but not limited to:

• First-party customer data
   

• Business strategies, product roadmaps, and financial models
   

• Access to backend tools, APIs, or internal documents
   

Confidentiality clauses extend beyond the project duration as per the MSA or NDA terms signed.

 

7. Third-party Tools, Platforms & Integrations

Zuzh may recommend or operate through third-party platforms (e.g., analytics suites, CRMs, hosting services). While we exercise due diligence, Zuzh is not liable for:

• Downtime, security breaches, or performance issues of third-party tools
   

• Changes in pricing or feature limitations of such platforms
   

Clients are responsible for maintaining their own platform licenses and authorisations unless covered under Zuzh’s service retainers.

 

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Zuzh shall not be held liable for indirect, incidental, or consequential damages arising from the use of this Site or our services.
   

• Total liability shall not exceed the fees paid by the client for the specific services rendered within the past 90 days.
   

This clause holds regardless of whether the claim is based on contract, tort, or equity.

 

9. Termination Rights

We reserve the right to terminate Site access or suspend service delivery:

• If there is a breach of these Terms or contract-specific obligations
   

• For misuse of intellectual property or non-payment
   

• Upon mutual agreement or project completion
   

Notice period and handover procedures are dictated by project contracts.

 

10. Amendments to Terms

Zuzh reserves the right to revise these Terms from time to time. All updates will be published on this page with an updated effective date. Continued use of the Site constitutes acceptance of any modifications.

 

11. Governing Law & Jurisdiction

These Terms and all contractual agreements with Zuzh are governed by the laws of India. Any legal disputes or proceedings shall fall under the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
